1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of EXCEED, a global platform for lifelong growth and transformation (the “Platform”) at www.exceedmyself.com, owned and operated by Vertical Momentum (Pvt) Ltd, a company duly incorporated under the laws of Zimbabwe, registration number 7660/2015, trading as EXCEED (“EXCEED,” “we,” “us,” or “our”).

By creating an account, applying for membership, or otherwise using the Platform, you (“you,” “member,” “user”) agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, you should not register or use the Platform.

2. Eligibility

EXCEED is open to progressive organisations and to passionate individuals and professionals from all walks of life who are committed to continuous development. To register, you must:

  • Be at least 18 years of age;
  • Provide accurate, current, and complete information during registration;
  • Be able to form a legally binding agreement under the laws applicable to you.

EXCEED reserves the right to accept or decline any membership application at its sole discretion.

3. Membership Application and Approval

  • You apply by creating an account at www.exceedmyself.com/register.
  • Your application is subject to review and approval by EXCEED. Approval is not automatic and EXCEED is not obliged to give reasons for declining an application.
  • Once approved, you may participate in the opportunities offered by EXCEED as a member, subject to these Terms.

4. Membership Categories and Fees

EXCEED offers six membership categories, generally aligned to your role in your organisation:

  • Membership runs on a calendar-year cycle (1 January to 31 December) and is renewed annually.
  • Your category is determined by your role and seniority, as confirmed by EXCEED during application review.
  • Fees are payable in accordance with the payment methods and schedule specified on the Platform at the time of application or renewal.
  • Fees are not refundable on cancellation.
  • EXCEED reserves the right to review and adjust membership fees from time to time, with reasonable notice to members ahead of renewal.

5. Personal Development Credits (PDCs)

  • To remain in good standing, members must accumulate at least 60 PDCs per year, with a minimum of 15 PDCs per quarter.
  • Every opportunity you engage in, whether run by EXCEED, a strategic partner, an independent party, or proposed by you, carries a PDC value, set out in the PDC Schedule published on the Platform.
  • Rollover: PDCs may roll over forward only. The quarterly minimum of 15 PDCs cannot be deferred or made up in a later quarter. Any PDCs accumulated beyond 100 in a calendar year may be rolled over to the following year.
  • EXCEED reserves the right to review, verify, and, where necessary, adjust PDCs credited to a member’s account, including in cases of inaccurate or unverifiable submissions.

6. Activities

Members may participate in the following activity types, each carrying its own PDC value as set out in the PDC Schedule:

  1. Business Events — attending, speaking, or facilitating at forums, summits, and panels.
  2. Publications — publishing thought leadership content on EXCEED platforms.
  3. Consultancy — serving as a consultant under EXCEED or its partners, or contributing to strategic initiatives.
  4. Coaching & Mentorship — coaching or being coached, mentoring or being mentored.
  5. SEAT AFRICA Networks of 7 (SANO7) — participating in peer leadership networks.
  6. SEAT AFRICA Speakers — participating in the speakers bureau.
  7. Self-Driven Activities — proposing and leading your own development activity for EXCEED’s approval.
  8. WenCHAM — participating in the World Chamber of Entrepreneurs for Economic Development.
  9. Other Verified Activities — registering development activities undertaken outside EXCEED’s ecosystem, with evidence, for verification and PDCs.
  10. Health — engage in health screenings, fitness activities, and wellness initiatives that safeguard your capacity to work and lead. PDCs Subject to determination..

For Self-Driven Activities and Other Verified Activities, you must submit the activity (and, where applicable, supporting evidence or written confirmation) for EXCEED’s approval before PDCs are credited. EXCEED’s decision on approval and PDC value is final.

7. Third-Party Partners and Content

EXCEED works with strategic partners, including but not limited to SEAT AFRICA and WenCHAM, and may feature opportunities from independent third parties. EXCEED:

  • Does not guarantee the availability, quality, or outcome of any activity, opportunity, or service provided by a strategic partner or independent third party;
  • Is not responsible for the acts or omissions of strategic partners or third parties in connection with any activity you undertake through them;
  • May share relevant information with strategic partners where necessary to deliver an activity you have engaged with, as described in our Privacy Policy.

Your participation in any third-party or partner-run activity may also be subject to that party’s own terms, which you are responsible for reviewing.

8. Member Content and Intellectual Property

  • Your content: When you submit content for Publications or other activities (e.g., articles, session materials), you retain ownership of it, but grant EXCEED a non-exclusive, royalty-free licence to publish, display, and distribute it on the Platform and in connection with EXCEED’s promotional activities, for as long as it remains published.
  • You warrant that any content you submit is your own original work (or that you have the right to submit it), does not infringe any third party’s rights, and does not contain unlawful, defamatory, or misleading material.
  • EXCEED’s content: The Platform’s design, branding, PDC system, and all EXCEED-created materials are the property of Vertical Momentum (Pvt) Ltd and may not be copied, reproduced, or used without our written permission.

9. Member Conduct

As a member, you agree to:

  • Provide accurate information in your profile, applications, and activity submissions;
  • Engage with other members, partners, and EXCEED staff professionally and respectfully;
  • Not misrepresent your qualifications, activities, or affiliations to earn PDCs or membership status;
  • Not use the Platform for unlawful purposes or in a way that could harm EXCEED, its partners, or other members.

EXCEED reserves the right to investigate suspected violations and to take action under Section 10 where appropriate.

10. Good Standing, Suspension, and Termination

  • Falling short of PDC thresholds (60/year, 15/quarter) may result in consequences, including suspension of membership. EXCEED will review each case on its own circumstances and will generally work with members to help them regularise their standing.
  • If a member does not cooperate in addressing a shortfall or a conduct issue, EXCEED reserves the right to take further action, which may include cancellation of membership.
  • A member whose membership is cancelled may reapply after six months. If readmitted, the member will serve a mandatory three-month probationary period.
  • EXCEED reserves the right to suspend or terminate a member’s account immediately, without prior notice, in cases of serious misconduct, fraud, or breach of these Terms.
  • Membership fees already paid are non-refundable on suspension or termination.

11. Changes to the Platform and Terms

EXCEED may update these Terms, the PDC Schedule, membership fees, or the Platform’s features from time to time. Material changes will be posted on the Platform with an updated “Last updated” date and, where appropriate, communicated to members directly. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

12. Disclaimers

  • EXCEED provides the Platform on an “as is” and “as available” basis and does not guarantee that it will be uninterrupted, error-free, or secure at all times.
  • Participation in EXCEED activities is undertaken at your own initiative. While EXCEED aims to curate valuable opportunities, it does not guarantee specific career, business, or personal development outcomes from your participation.
  • Nothing on the Platform constitutes professional, legal, financial, or medical advice.

13. Limitation of Liability

To the maximum extent permitted under the laws of Zimbabwe, EXCEED (and Vertical Momentum (Pvt) Ltd, its directors, officers, employees, and agents) shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Platform or participation in any activity, including losses arising from the acts or omissions of strategic partners or third parties. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Zimbabwean law.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Zimbabwe. Any dispute, claim, or difference arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be resolved in accordance with the following staged process:

14.1 Negotiation

The parties shall first attempt in good faith to resolve the dispute through direct negotiation between authorised representatives. A party wishing to invoke this process shall give the other party written notice of the dispute, and the parties shall meet (in person or remotely) within fourteen (14) days of that notice to attempt a resolution.

14.2 Mediation

If the dispute is not resolved through negotiation within thirty (30) days of the initial written notice, either party may refer the dispute to mediation before a single mediator agreed upon by the parties. If the parties cannot agree on a mediator within fourteen (14) days of a referral, the mediator shall be appointed by the Commercial Mediation Centre in Zimbabwe. The mediation shall be conducted in Zimbabwe, in the English language, and concluded within thirty (30) days of the mediator’s appointment, unless the parties agree in writing to extend this period.

14.3 Arbitration

If the dispute remains unresolved sixty (60) days after mediation is initiated under Clause 14.2, either party may refer the dispute to final and binding arbitration under the Arbitration Act [Chapter 7:15] of Zimbabwe. The arbitration shall be conducted by a single arbitrator agreed upon by the parties or, failing agreement within fourteen (14) days, appointed by the Commercial Arbitration Centre in Zimbabwe. The arbitration shall be conducted in Zimbabwe, in the English language, and the arbitrator’s award shall be final and binding on the parties, subject only to any right of appeal or review available under the Arbitration Act [Chapter 7:15].

14.4 Seat and Governing Law

The seat of any mediation or arbitration under this clause shall be Zimbabwe, and the process shall be governed by and construed in accordance with the laws of Zimbabwe.

14.5 Preservation of Rights

Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction in Zimbabwe at any stage, where necessary to protect its rights, without this being treated as a waiver of the parties’ agreement to mediate or arbitrate.

14.6 Costs

Unless the mediator or arbitrator (as applicable) directs otherwise, each party shall bear its own costs of the negotiation and mediation stages, and the costs of arbitration shall be determined by the arbitrator as part of the award.

15. Privacy and Data Protection

Our collection and use of your personal information is governed by our Privacy Policy and Cookie Policy, prepared in accordance with the Cyber and Data Protection Act [Chapter 12:07] of Zimbabwe, which form part of these Terms by reference.
